While, the approval of Mumbai High Court is awaited, Jagran Prakashan announced that the Hon'ble High Court of Judicature at Allahabad has examined and approved the merger of Crystal Sound & Music (Crystal or Transferor Company I) and Spectrum Broadcast Holdings, earlier known as IVFH Holdings (Spectrum or Transferor Company 2) with Jagran Prakashan (JPL or Amalgamated Company). Allahabad High Court has also approved the demerger of Radio Business Undertaking of Shri Puran Multimedia (SPML or Demerged Company) into Music Broadcast (MBL or Resulting Company). The Scheme is waiting for approval from High Court of Judicature at Mumbai and other mandatory approvals.
The Scheme shall be put into effect from the date of filing of certified / authenticated copies of Orders of the High Court with the Registrar of Companies Uttar Pradesh and Registrar of Companies at Mumbai, as valid.
